Terms & Conditions

These Terms govern your use of our website and services (the “Services”). By using the Services, you agree to these Terms, our Privacy Policy, and Refund Policy.
 

1) Who May Use the Services

You must be able to form a binding contract. If using the Services on behalf of an organization, you confirm you’re authorized to accept these Terms for it.
 

2) Accounts & Access

You’re responsible for your login and anything done under it. Don’t share credentials or try to bypass security.
 

3) What We Provide

We offer advisory, training, events, and access to a curated expert network. Unless stated in a signed Statement of Work (“SOW”), experts are independent contractors. If these Terms conflict with a signed SOW, the SOW controls for that engagement.
 

4) Fees & Payments

You authorize charges to your selected payment method for fees, taxes, and applicable processing charges as quoted at checkout or in your SOW/invoice. Late or failed payments may pause access or bookings.
 

5) Cancellations & Refunds

Cancellations, no-shows, and refunds follow our Refund Policy (incorporated by reference). Where approved, refunds go to the original payment method.
 

6) Your Responsibilities

Provide accurate information and timely approvals needed for delivery. Don’t use the Services for unlawful, harmful, or infringing activity, or to disrupt our systems.
 

7) Intellectual Property

Our site, content, and materials are protected by IP laws. We grant you a limited, revocable, non-transferable license to use the site for its intended purpose. Don’t copy, modify, distribute, or reverse-engineer except as allowed by law or with our written permission.
 

8) Your Content & Feedback

If you upload or submit content, you grant us a non-exclusive, worldwide, royalty-free license to use it only to deliver and improve the Services. You confirm you have the rights to provide it. Feedback may be used without restriction.
 

9) Confidentiality

Non-public information shared during an engagement is confidential. Each party will protect it and use it only for the engagement, except where disclosure is required by law.
 

10) Privacy

We handle personal data per our Privacy Policy.
 

11) Third-Party Services

We may integrate third-party tools (payments, analytics, video). Their terms and privacy policies apply; we aren’t responsible for them.
 

12) No Professional Advice

Unless expressly agreed in a signed SOW, our Services are not legal, tax, accounting, investment, medical, or other regulated professional advice.
 

13) Warranties (Plain-English Disclaimer)

The Services are provided “as is” and “as available.” We don’t make promises about uptime, accuracy, or fitness for a particular purpose.
 

14) Liability (Kept Simple)

To the extent allowed by law:

  • We’re not liable for indirect or consequential losses (like lost profits, revenue, data, or goodwill).

  • Our total liability for any claim is capped at the greater of (i) what you paid us in the 12 months before the claim or (ii) USD $100.

  • This section doesn’t limit liability that can’t legally be limited and doesn’t affect your non-excludable consumer rights.
     

15) Compliance & Fair Use (Succinct)

Please use the Services lawfully and fairly. If we reasonably believe your use violates applicable laws, third-party rights, or these Terms, we may suspend or end access to protect users and the platform.
 

16) Suspension & Termination

We may suspend or terminate access for violations or if needed to protect the Services. Sections that should reasonably survive (IP, confidentiality, privacy, disclaimers, liability limits) survive termination.
 

17) Changes

We may update the Services or these Terms. We’ll post changes with a new effective date. Continued use means you accept the updated Terms.
 

18) Governing Law & Venue

These Terms are governed by the Kingdom of Thailand. 
 

19) Miscellaneous

  • No waiver of rights by inaction.

  • Severability: if one part is invalid, the rest stays effective.

  • Assignment: you need our consent to assign; we may assign to an affiliate or in a merger/sale.

  • Entire agreement: these Terms, the Privacy Policy, the Refund Policy, and any signed SOW make up the whole agreement.
